OPERATING AGREEMENT

By filling out the signup form you acknowledge that you have read the Affiliate Terms and Conditions, understand, and agree with them. 1. Joining the Program By filling out the signup form you will automatically be bound by the terms of this agreement unless your application is denied. Your participation in the program is solely for this purpose: to legally advertise our website to receive a commission on products purchased by your referral individuals. 2. Revocation of Affiliate Status Your affiliate application and status in the program may be suspended or terminated for any of the following reasons: a. Inappropriate advertisements (False claims, misleading hyperlinks) b. Spamming (mass email, mass newsgroup posting, etc...) c. Advertising on sites containing/promoting illegal activities d. Deceptive or dishonest earnings practices as solely judged by Natural Ginesis. e. Violation of intellectual property rights. 3. Affiliate Links You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newspapers. You may only use the graphics and text provided to you by us. 4. Affiliate Tracking When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate username. Also, their IP address is tracked in the database along with your affiliate name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or they are using the same IP address as the one logged in the database. 5. Terms of the agreement These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by us at any time without notice, including commission amounts. If any modification to the terms is unacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change. 6. Liability We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors. 7. Affiliate Requirements and Terms of Payment (READ CAREFULLY) a. You must be 18 years of age or older to become a Natural Ginesis Affiliate. b. You understand that you are not employed by Natural Ginesis. You are an Independent Affiliate and you are the Owner of your own business. The exception being when sales are made thru your web page link the profit from sales is considered affiliate based. (As quoted In IRS Publication 911) If some of your customers buy their products directly from the company website thru your web page link you, as the sales agent, do not have any sales income from these transactions. You will receive a commission for making the sale, but you will have no direct income from the sale itself. Report your commissions as other business income. c. It is your responsibility to obtain any and all necessary business licenses and tax forms required to operate a business. (Contact your local and state government for requirements. See IRS Pub 911 -Direct Sellers .) Including the necessary sales tax license. d. A record of your commission earnings is available through http://naturalginesis.com/cgi-bin/affiliates/login.pl e. Commissions earned on products that are returned by the buyer and then refunded will not be issued. f. Shipping rates apply to all orders. Your commission earned through the Natural Ginesis Affiliate program are on product sales only, not including tax or shipping and handling amounts. g. Affiliate payments are paid each month via your Paypal account. No credit will be made for sales that are not made thru your affiliate number. If a customer purchases thru our website and and not thru your link or # you will not be credited for the sale. All Sales that are made correctly register in your account at http://naturalginesis.com/cgi-bin/affiliates/login.pl. Commissions on returned merchandise or sale credits will be deducted from your Affiliate payments. (For example, if a product is purchased and you receive affiliate commission on that purchase. If the product is then returned and credit issued to the buyer, the commission will be removed from your account.) h. Pictures and images from our website are allowed to be used on an Affiliate website but must be saved on your server. No Hotlinking. Please save the images from our website by right-clicking the image and selecting Save Picture As, then use that image in your own website. i. Product descriptions cannot be copied word for word and must be written in your own words. You may not use the word pesticide in your description or elude to the use of Natural Ginesis products in such way that they are represented as pesticides. We check websites frequently for violations. By filling out this form you acknowledge that you have read the terms and conditions, understand, and agree with them.
